Corporate Policy

Mylan N.V. is a publicly traded company on the NASDAQ Global Select Market and incorporated under the laws of the Netherlands, as set forth in its Articles of Association. The business and affairs of Mylan N.V. are managed and controlled in the United Kingdom under the oversight of the company’s Board of Directors. The board has established seven committees, each of which operates pursuant to a written charter. Each director is elected annually by the company’s shareholders. Certain of the directors’ duties, rights and responsibilities are detailed in the company’s Board Rules as well as in the company’s Corporate Governance Principles.

The Chief Executive Officer and other executive officers oversee management of the company’s business. Duties and standards of conduct for Mylan employees, officers and directors are set forth in the company’s Code of Business Conduct and Ethics, as well as in the Code of Ethics for the Chief Executive Officer, Chief Financial Officer and Corporate Controller.
